Governance

This page summarizes how LightSeek Foundation is governed. The Foundation's articles of incorporation and bylaws are controlling. If this summary differs from those documents, the governing documents control.

Foundation

LightSeek Foundation is a nonprofit organization incorporated in California and based in San Francisco. The U.S. Internal Revenue Service recognizes the Foundation as tax-exempt under Section 501(c)(3).

Project Stewardship

LightSeek Foundation currently supports these primary open-source projects:

  • TokenSpeed is developed and maintained primarily by individual contributors affiliated with LightSeek Foundation, NVIDIA, and AMD. It has also received contributions from individuals active in the Triton compiler, LLVM, Mooncake, Qwen, LongCat, and other open-source communities.
  • TorchSpec is primarily maintained by individual contributors affiliated with LightSeek Foundation.

Affiliations are provided for identification only. An affiliation does not mean that a contributor represents an employer or organization, or that the employer or organization sponsors or endorses the Foundation or a project. Each project's maintainers make day-to-day technical decisions through that project's repository contribution and review process.

SMG officially graduated from LightSeek Foundation on July 31, 2026.

Board and Decisions

The Board oversees the Foundation's organizational and fiduciary matters. Directors' current professional affiliations include LightSeek Foundation, NVIDIA, and AMD. Directors serve in their individual capacities. Their service does not mean that they represent their employers or that an employer sponsors or endorses the Foundation.

Each director has one vote. Foundation-level decisions are approved by a simple majority of the Board, subject to the Foundation's governing documents and applicable law.

Conflicts of Interest

Directors disclose actual or potential conflicts of interest. A director with a conflict does not participate in deliberations or votes on the matter.

Nonpartisanship

The Foundation does not participate or intervene in any political campaign on behalf of, or in opposition to, any candidate for public office. Any lobbying activity is conducted only within the limits applicable to Section 501(c)(3) organizations.
